Welcome to Direction Ventures, LLC ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our web-based SaaS platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use the Service. The Service is intended for business use only.

2. Account Registration

• To use the Service, you must create an account and provide accurate information.
• You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
• You must promptly notify us of any unauthorized access or security breach.

3. Authorized Integrations

The Service allows you to connect to third-party platforms (including Slack, LinkedIn, and PhantomBuster). By enabling these integrations, you authorize us to access and process data on your behalf solely for providing the Service.

You are solely responsible for ensuring that your use of these integrations complies with the applicable terms of service of the third-party platforms (e.g., LinkedIn and PhantomBuster). We do not control, and are not responsible for, any actions taken by those third-party services.

4. Use of the Service

You agree that:

• You are solely responsible for all data you collect, upload, or process through the Service, including data retrieved from LinkedIn via PhantomBuster.
• You represent and warrant that you have the legal right to collect, use, and share such data, and that your use complies with all applicable laws and third-party terms.
• We act only as a facilitator and do not review, validate, or take responsibility for the accuracy, legality, or appropriateness of any data you collect.

5. Payment & Subscriptions

• Access to the Service may require a paid subscription.
• Payments are processed by Stripe, our third-party provider. By subscribing, you agree to Stripe's terms.
• Fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law.
• We may change pricing with notice before your next billing cycle.

6. Data Collection & Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to such collection and use.

7. Intellectual Property

• All rights, titles, and interests in the Service, including software, AI models, and design, are owned by Direction Ventures, LLC or our licensors.
• You may not use our trademarks, branding, or content without permission.

8. AI & Automation Disclaimer

The Service may use AI and automation (including PhantomBuster and OpenAI) to process data and generate outputs. You acknowledge and agree that:

• We do not control or monitor the data collected via PhantomBuster or LinkedIn.
• You are fully responsible for the legality and consequences of collecting, storing, or using such data.
• We disclaim liability for any restrictions, suspensions, or account actions taken by LinkedIn or other third parties as a result of your use.
• Outputs generated by AI may not be accurate, complete, or error-free, and you assume all responsibility for how you use them.

9. Service Availability

We strive to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may suspend or discontinue the Service (with notice where reasonable).

10. Termination

We may suspend or terminate your account if you:

• Violate these Terms,
• Misuse the Service or connected third-party platforms, or
• Fail to pay applicable fees.

You may cancel your subscription at any time, but payments are non-refundable.

11. Disclaimers & Limitation of Liability

• The Service is provided "as is" without warranties of any kind.
• To the fullest extent permitted by law, we disclaim liability for damages arising from your use of the Service, including indirect, incidental, or consequential damages.
• Our total liability will not exceed the amount you paid us in the 12 months before the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Direction Ventures, LLC, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including attorneys' fees) arising out of or related to:

• Your use of PhantomBuster, LinkedIn, or any other third-party integrations through the Service;
• Your collection, processing, or use of data obtained through the Service;
• Your violation of third-party terms of service or applicable laws.

13. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Massachusetts, without regard to conflict of law principles.
• Any disputes will be resolved in the state or federal courts located in Suffolk County, Massachusetts.

14. Changes to the Terms

We may update these Terms at any time. If we make material changes, we will notify you via email or through the Service. Continued use after changes means you accept the updated Terms.
